Affiliate Terms and Conditions
1. Definitions
1.1. Affiliate: Refers to the individual or entity participating in the Company's Affiliate Program, who agrees to promote the Company's products or services in exchange for commissions.
1.2. Affiliate Program: The program offered by Sundar Innovations Private Limited ("Company") through which Affiliates promote the Company's products or services.
1.3. Commissions: The monetary compensation earned by the Affiliate for successful promotion of the Company's products or services, as outlined in this Agreement.
1.4. Customer: A person or entity that makes a purchase of the Company's products or services through the Affiliate's unique tracking link.
1.5. Tracking Link: A unique URL provided by the Company to the Affiliate for the purpose of tracking referrals and commissions.
2. Enrollment in the Affiliate Program
2.1. To become an Affiliate, you must complete the Company's Affiliate application and agree to these Terms and Conditions.
2.2. The Company reserves the right to accept or reject any Affiliate application at its sole discretion.
3. Affiliate Obligations
3.1. As an Affiliate, you agree to:
3.1.1. Promote the Company's products or services in a professional, honest, and ethical manner.
3.1.2. Use only approved marketing materials and tracking links provided by the Company.
3.1.3. Comply with all applicable laws and regulations while promoting the Company's products or services.
3.1.4. Not engage in any deceptive or unethical marketing practices.
3.1.5. Not engage in any activities that may harm the Company's reputation.
4. Commissions and Payment
4.1. The Company will pay Commissions to the Affiliate based on the terms and rates specified in the Company's Affiliate Program documentation.
4.2. Commissions will be calculated based on the net sales generated by the Affiliate's referrals using the Affiliate's unique tracking link.
4.3. Commissions will be added to the Affiliate online account on order status basis, subject to a minimum payout threshold, which will be determined by the Company.
4.4. Payment will be made via Affiliate Account for the registered and approved affiliates, and the Affiliate is responsible for providing accurate payment information through the provided channels.
4.5. The Affiliate is responsible for any taxes or fees related to their Commissions.
5. Termination
5.1. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
5.2. Upon termination, the Affiliate shall cease promoting the Company's products or services immediately and return any Company-provided materials or information.
6. Confidentiality
6.1. The Affiliate agrees to keep all non-public information received from the Company confidential and not disclose such information to third parties without the Company's prior written consent.
7. Limitation of Liability
7.1. The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, even if the Company has been advised of the possibility of such damages.
8. Modification
8.1. The Company reserves the right to modify this Agreement at any time. Affiliates will be notified of changes via email or on the Company's Affiliate Program website. Continued participation in the Affiliate Program after such modifications will constitute acceptance of the revised Agreement.
9. Governing Law
9.1. This Agreement shall be governed by and construed in accordance with the laws of the Jurisdiction of the Company.
10. Entire Agreement
10.1. This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements, understandings, and representations.
